What is an Implied Contract, and How Does It Work?

When two or more parties do not have a written contract, an implicit contract is formed.

When two or more parties do not have a written contract, but the law imposes an obligation in the interest of justice based on the parties' actions or circumstances, an implied contract is formed. Contracts that are implicit in fact and contracts that are inferred at law are the two sorts of implied contracts. While putting all contracts in writing is generally a good idea, it is not always essential to create an enforceable contract between parties.

Contracts that are implied in reality

Based on the circumstances of the situation, an implied in-fact contract generates an obligation between the parties. If the conduct of the parties or the circumstances indicate that they had an agreement or understanding that produced an obligation, the law will conclude that they had an implicit in-fact contract.

Assume you're hired to mow your neighbor's lawn every Friday for the entire summer. For the first three weekends of the summer, you mow your neighbor's grass and are paid on Saturday morning. You mow the lawn on the fourth Friday, but when you arrive at your neighbor's house on Saturday morning, he refuses to pay you. Even if you never put anything in writing, the law will conclude that you and your neighbor have a contract. This is a contract that is implied in fact. Your neighbor owes you money since you kept your end of the bargain, there was an agreement based on both parties' previous behavior, and your neighbor benefited from your efforts.

To assess if a contract exists, courts will look at the parties' course of activity. Given that your neighbor paid you for three Saturdays in a row this summer, it's reasonable to assume that you had an agreement or implied in-fact contract to continue performing and receiving payment for those services.

At-Law Implied

With an implicit at-law contract, the law imposes a responsibility to perform a contract and will enforce a contract even against a person's will, if the circumstances are such that one party would be unfairly enriched by the actions of another party without this remedy. Even though neither party intended to engage into an agreement, one party is entitled to reimbursement for the services supplied in this case.

Someone, for example, is eating supper at a restaurant and chokes. A doctor sits nearby at a table, watching the individual choking. The doctor rushes over and saves the other customer's life by performing the Heimlich maneuver. He later sends a medical bill to the diner he rescued for services done. The consumer is compelled to pay the doctor even though he had no intention of entering into an agreement with him because otherwise the doctor's services would unfairly enrich him. To circumvent this, the law will establish an implied at-law contract and force the customer to pay fair market value for the services he obtained.

A quasi-contract is a sort of agreement that falls somewhere between a contract and a non-contract. When the law imposes an obligation on parties who did not intend to enter into a contract and made no promise to execute, this is known as a quasi-contract. However, because one party would be unfairly benefited as a result of another party's conduct, the recipient of those actions must make restitution or pay fair value for the services rendered, even if no agreement was ever intended.

Oral Contracts are Enforceable

To be enforceable, only a few contracts must be in writing. Most states have laws (known as the Statute of Frauds) that dictate which contracts must be written down. Contracts for the sale of land, to answer for another's debts, that cannot be executed within one year, that are over a specific cash amount, or that involve certain sales of items must all be in writing, however state laws differ.

Even though many types of contracts do not need to be in writing to be enforceable, having a written agreement is usually a good idea if you are getting into an agreement with someone for services, a sale, or anything else where a dispute could develop later
