Contract Amendment: How can I write one?

You can easily and quickly include any changes to an existing contract using this Sample Amendment to Contract. In the section below under "Completing the Amendment," you'll also find some pointers on how to fill out the form.
 
Amendment to Contract:

The parties to the agreement ________________ dated ________________ make this amendment (the "Amendment") (the "Agreement").The Agreement is changed in the following ways:_____________________________

The Agreement shall remain in full force and effect and in accordance with its terms, subject only to the provisions of this Amendment. The conditions of this modification will take precedence over any earlier amendments or the Agreement in the event of a conflict.

The Amendment's Completion:
The Sample Amendment should be filled out and incorporated into your contract as follows:
 
1. An opening paragraph. Put your name or the name of your business together with the name of the other side (an individual or a company).

2. Explain the change (s). Use one of the three approaches to enter the modifications to the current contract: redlines and strikeouts, rewriting a whole phrase in its entirety, or simply outlining the changes.

3. The summary sentence. This clause (number three) should be inserted to ensure that, aside from the alteration, the contract is left in its whole.

4. Proofread your amendment, then sign it. Each of you should sign your name and affix the date beneath the stated party names. Each person should sign their name and the title they now hold, such as "Chief Operating Officer" or "General Partner," underneath. You should confirm that the individual signing the agreement has the required authorization, as well as that you have complied with any notification or signing requirements specified in the original agreement. The parties to an agreement must typically sign any changes. Other signatures or notices can be needed in some circumstances, such as corporate revisions or amendments to financial agreements.

5. Handling Modifications. It's common practice to name each amendment, for example, "Amendment No. 1" or "First Amendment," as contracts may undergo several amendments. The original agreement should also be filed and kept alongside any updates so that anyone looking at the file would be aware of the changes.
